1. Agreement to These Terms

These Terms of Use (“Terms”) are a legally binding agreement between you and CAPO Supply (“CAPO Supply,” “we,” “us,” or “our”) governing your access to and use of https://caposupply.com/, including any related pages, online forms, customer-account features, and online store functions we may make available (collectively, the “Site”).

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Site.

We may update these Terms from time to time. Any revised Terms will be effective when posted unless otherwise stated. Your continued use of the Site after revised Terms are posted constitutes acceptance of those revisions.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Site or place an order. If you use the Site on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.

3. Site Content and Intellectual Property

Unless otherwise indicated, the Site and its content—including text, graphics, photographs, product information, logos, page designs, software, and other materials—are owned by or licensed to CAPO Supply and are protected by applicable intellectual-property laws.

You may access and use the Site for legitimate personal or business purchasing purposes. You may not copy, reproduce, republish, distribute, modify, sell, license, scrape, or commercially exploit Site content without our prior written permission, except as permitted by law.

Manufacturer names, product names, logos, and trademarks displayed on the Site belong to their respective owners. Their appearance does not imply an endorsement beyond CAPO Supply’s authorized or customary sale, distribution, or sourcing of applicable products.

4. Product Information and Availability

We make reasonable efforts to present product descriptions, specifications, images, colors, pricing, and availability accurately. However, product information may contain errors or may change without notice. Images are for general reference and may not show the exact configuration, finish, packaging, or accessories supplied.

All products are subject to availability. We may correct errors, update information, substitute or discontinue products, limit quantities, or cancel an order when a product is unavailable, incorrectly described, incorrectly priced, or subject to a manufacturer or supplier restriction.

You are responsible for confirming that a product is suitable, compatible, properly rated, code-compliant, and approved for your intended application. Product selection, installation, and use should be performed by qualified persons and in accordance with applicable codes, instructions, and safety requirements.

5. Accounts and Account Security

If account registration is available, you agree to provide accurate and current information, safeguard your login credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity occurring through your account unless prohibited by law.

We may suspend or terminate an account, refuse service, or restrict access when we reasonably believe an account is being used fraudulently, unlawfully, or in violation of these Terms.

6. Orders, Pricing, and Payment

Submitting an order is an offer to purchase and does not constitute acceptance by CAPO Supply. We may accept, reject, limit, or cancel an order for legitimate business reasons, including product availability, pricing or description errors, suspected fraud, credit issues, manufacturer restrictions, or shipping limitations.

Unless otherwise stated, prices are in U.S. dollars and do not include applicable taxes, freight, delivery, handling, special-order charges, or other fees. Applicable charges will be added as required or disclosed during quoting, checkout, or order confirmation.

Payment methods may include major payment cards, approved purchase orders, established credit accounts, or other methods we make available. Purchase orders and credit sales are subject to separate approval, credit terms, and account conditions. If separate written quote, credit, or sales terms conflict with these Terms, the separately agreed terms control for that transaction.

We reserve the right to correct pricing, calculation, description, or availability errors before shipment or fulfillment. If a correction materially affects your order, we may contact you for approval or cancel and refund the affected amount.

7. Shipping, Delivery, Pickup, and Risk of Loss

Shipping, delivery, and pickup dates are estimates unless we expressly agree otherwise in writing. Delays may occur because of manufacturer availability, freight conditions, weather, labor disruptions, carrier performance, supply-chain interruptions, or other circumstances beyond our reasonable control.

Shipping charges, delivery charges, minimum-order requirements, and special handling fees may apply. Responsibility for risk of loss and title will be determined by the applicable shipping terms, quote, order acknowledgment, invoice, or other written sales documentation.

You are responsible for inspecting deliveries promptly and reporting visible shortages, damage, or incorrect material as soon as reasonably possible. Freight damage claims may require photographs, packaging, delivery receipts, and carrier documentation.

8. Returns and Returned Material Authorization

Returns require prior authorization from CAPO Supply unless we state otherwise in writing. An issued Returned Material Authorization (“RMA”) is valid for 30 days. Material returned after that period may be refused or require a new authorization.

Returned material must be accompanied by the applicable RMA paperwork, invoice or proof of purchase, and any other documentation requested by CAPO Supply. All returned material is subject to inspection before credit is issued.

Stock material returned because of customer error, over-ordering, project changes, or buyer’s remorse may be subject to a 15% restocking fee. Material must be unused, undamaged, complete, and in resalable condition, including original packaging when applicable. The standard 15% restocking fee may be waived when eligible stock material is returned by the customer to a CAPO Supply location with proper paperwork, subject to inspection and approval.

Non-stock, special-order, custom, cut-to-length, fabricated, configured, hazardous, clearance, obsolete, or manufacturer-restricted material may be nonreturnable or subject to the manufacturer’s restocking, freight, and return conditions. Wire, cable, conduit, pipe, or other products cut or modified to customer specifications are generally nonreturnable unless defective or supplied incorrectly.

When CAPO Supply schedules pickup of authorized return material, the material must be ready at the agreed location and time. If it is not ready, the customer is responsible for contacting CAPO Supply to reschedule or arranging return delivery.

For COD transactions, credit cannot be issued until the material has been inspected and approved. The customer must provide the required return paperwork to the cashier or counter representative.

CAPO Supply may refuse unauthorized, damaged, incomplete, used, altered, contaminated, or otherwise non-resalable material. Refunds or credits will be issued to the original payment method or customer account when practical, subject to applicable law and the approved return terms.

9. Manufacturer Warranties and Defective Products

Many products are covered by warranties provided by their manufacturers. Unless CAPO Supply expressly provides a separate written warranty, CAPO Supply does not extend or modify any manufacturer warranty. Warranty claims may require proof of purchase, photographs, testing information, serial numbers, return of the product, or direct processing through the manufacturer.

Contact CAPO Supply promptly if you believe a product is defective, damaged, or incorrectly supplied. We will assist with the applicable return, replacement, or manufacturer-warranty process, but approval and remedy may depend on the manufacturer’s terms.

10. Prohibited Uses

You may not use the Site to:

• violate any applicable law or regulation;
• submit false, fraudulent, misleading, or unauthorized orders or information;
• impersonate another person or misrepresent your affiliation or authority;
• interfere with the Site, its security, or its connected systems;
• upload malware, harmful code, or content intended to disrupt the Site;
• attempt to gain unauthorized access to accounts, systems, or data;
• use automated scraping, bots, or data-extraction tools except ordinary search-engine indexing or with our written permission;
• collect personal information from other users without authorization;
• copy, reverse engineer, or exploit Site software or content unlawfully; or
• use the Site in a manner that could damage CAPO Supply, its customers, suppliers, or reputation through unlawful conduct.

11. Forms, Reviews, Feedback, and Other Submissions

Information you submit through quote requests, credit applications, contact forms, file uploads, or other transaction-related forms will be used to evaluate and respond to your request and will be handled in accordance with our Privacy Policy.

Suggestions, comments, and general feedback that you voluntarily provide may be used by CAPO Supply without compensation or confidentiality obligations, provided that this does not transfer ownership of your confidential business information, personal information, plans, specifications, or other materials submitted for a quote, credit review, or transaction.

You represent that you have the right to submit any files, plans, specifications, images, or other materials you provide and that our authorized use of those materials to respond to your request will not violate another person’s rights.

12. Third-Party Websites and Services

The Site may link to manufacturer, supplier, carrier, payment, social-media, or other third-party websites and services. CAPO Supply does not control and is not responsible for third-party content, availability, privacy practices, security, or terms. Your use of third-party websites and services is governed by their respective policies.

13. Privacy

Your use of the Site is also subject to CAPO Supply’s Privacy Policy. The Privacy Policy should be reviewed before submitting personal, payment, account, credit, or business information through the Site.

14. Electronic Communications and Signatures

By using the Site, sending email, submitting online forms, placing an online order, or using an electronic-signature function, you consent to conduct those transactions electronically. You agree that electronic records, notices, acknowledgments, and signatures may satisfy applicable writing and signature requirements to the extent permitted by law.

15. Site Availability and Changes

We may modify, suspend, restrict, or discontinue any part of the Site at any time. We do not guarantee uninterrupted, secure, or error-free operation. Maintenance, outages, third-party failures, cyber incidents, or other events may temporarily affect availability.

16. Disclaimer of Site Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” CAPO SUPPLY DISCLAIMS WARRANTIES RELATING TO THE OPERATION OF THE SITE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

This Site disclaimer does not eliminate any product warranty, return right, or remedy that cannot legally be disclaimed, or any separate written warranty expressly provided by CAPO Supply or a manufacturer.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CAPO SUPPLY AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF OR INABILITY TO USE THE SITE, INCLUDING LOSS OF DATA, BUSINESS INTERRUPTION, OR LOST PROFITS.

For claims arising solely from use of the Site, CAPO Supply’s aggregate liability will not exceed the amount you paid directly to CAPO Supply through the Site for the transaction giving rise to the claim. These limitations do not apply where prohibited by law or to liability that cannot legally be limited.

18. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless CAPO Supply and its owners, officers, employees, and agents from third-party claims, losses, liabilities, and reasonable expenses arising from your unlawful use of the Site, your material breach of these Terms, or your infringement of another person’s rights.

19. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules. Unless applicable law requires otherwise, any legal action arising from these Terms or the Site must be brought in the state courts located in Mercer County, Pennsylvania, or the United States District Court for the Western District of Pennsylvania, and each party consents to the jurisdiction of those courts.

20. Severability and Entire Agreement

If any provision of these Terms is held unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain effective.

These Terms, together with the Privacy Policy and any applicable quote, order acknowledgment, invoice, credit agreement, return authorization, or other written transaction terms, constitute the agreement governing your use of the Site and the applicable transaction. CAPO Supply’s failure to enforce a provision is not a waiver of that provision.
